1. Acceptance of Terms

By creating an account, accessing, or using our services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use our services.

2. Eligibility

You must be at least 18 years old to use our services. By using our platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms

4. Use of Services

Permitted Use

Our platform is designed to help TLC drivers and vehicle owners connect for rental and shift management purposes. You may use our services for lawful purposes in accordance with these Terms.

Prohibited Activities

You agree not to:

Violate any local, state, federal, or international laws or regulations
Post false, misleading, or fraudulent information
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Harass, abuse, or harm other users
Upload or transmit viruses, malware, or any malicious code
Attempt to gain unauthorized access to our systems or other users' accounts
Scrape, data mine, or use automated tools to collect information from our platform without permission
Use our services for any commercial purpose not expressly permitted by these Terms
Interfere with or disrupt the operation of our platform

5. Listings and Marketplace

Listing Accuracy: You are responsible for ensuring all information in your listings is accurate, current, and complete
Compliance: All listings must comply with applicable TLC regulations and local laws
Verification: We may, but are not obligated to, verify listings or user information
Removal: We reserve the right to remove any listing that violates these Terms or applicable laws
Transactions: We are a marketplace platform and not a party to transactions between users

6. Payments and Fees

Payment processing is handled by third-party payment processors (Stripe)
You are responsible for any fees charged by your payment provider
We may charge service fees, which will be clearly disclosed before you complete a transaction
All fees are non-refundable unless otherwise stated or required by law

7. Intellectual Property

The platform, including all content, features, and functionality, is owned by us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our express written permission.

By posting content on our platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content in connection with operating our services.

8. User Content

You retain ownership of content you post, but grant us the license described above
You are solely responsible for your content and any consequences of posting it
You represent that you have all necessary rights to post your content
We may, but are not obligated to, monitor or review user content
We may remove content that violates these Terms or for any other reason

9. Disclaimers and Limitations of Liability

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, secure, or error-free. We do not endorse or guarantee the accuracy, reliability, or quality of any listings, user content, or user conduct.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless TLC Shift, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.

11. Dispute Resolution

Governing Law: These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions.

Arbitration: Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

12. Termination

We may terminate or suspend your account and access to our services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use our services will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TLC Shift regarding the use of our services.
